Book My Free ConsultationThe Firm's services are limited to the compilation, preparation, presentation and formatting of financial and related information based solely on the information, documents, explanations and representations provided by the Client. The Firm does not audit, review, verify, validate, investigate or independently confirm the accuracy, completeness, authenticity or reliability of any information supplied by the Client or any third party.
The Client is solely responsible for providing complete, accurate and timely information and supporting documentation; ensuring that all information provided is true, correct and not misleading; reviewing all reports, statements, schedules and other documents prepared by the Firm before they are submitted to any third party or relied upon; and promptly notifying the Firm of any errors, omissions or changes in the information provided. The Firm is entitled to rely entirely on information supplied by the Client without undertaking any independent verification.
The Client acknowledges that the Firm's services constitute compilation and preparation services only. The Firm does not express an audit opinion, review conclusion, certification, verification or any other form of assurance regarding the financial or other information prepared. No document prepared by the Firm should be interpreted as confirming the accuracy, completeness or reliability of the underlying information.
The Firm does not provide any assurance that the compiled information is free from material error; that it complies with any particular accounting, regulatory or lending requirement unless expressly agreed in writing; or that any third party will accept or rely upon the information prepared. The Firm does not undertake to identify fraud, theft, irregularities, illegal acts, errors, omissions or non-compliance with applicable laws or regulations.
The Client acknowledges that the Firm has no control over the decisions of banks, financial institutions, investors, government agencies or any other third party. The Firm makes no representation, warranty, guarantee or undertaking regarding the approval, decline or outcome of any loan, credit facility, grant, funding application or financing request, or that any third party will rely upon or accept documents it prepares. The Firm does not provide investment advice — all investments should be discussed with a registered professional. All lending and commercial decisions remain entirely within the discretion of the relevant decision-maker.
To the fullest extent permitted by applicable law, the Firm shall not be liable for any direct, indirect, incidental, consequential, special, punitive or economic loss, including loss of profits, business opportunities, financing, contracts or goodwill, arising from information supplied by the Client that is inaccurate, incomplete or misleading; the Firm's compilation or preparation of information based on such information; reliance placed on the compiled information by the Client or any third party; decisions made by lenders, investors, regulators, suppliers, customers or any other person; or the acceptance or rejection of any loan, finance, grant, tender or commercial application. Any use of the information prepared by the Firm is entirely at the Client's own risk.
The Firm prepares information solely for the Client unless otherwise agreed in writing. No third party acquires any rights against the Firm by relying on information it prepares, and the Firm accepts no responsibility or liability to any third party for any loss arising from such reliance.
The Client agrees to indemnify and hold harmless the Firm, its partners, directors, employees and agents against any claims, losses, liabilities, damages, costs or expenses arising from inaccurate, incomplete or misleading information supplied by the Client; the Client's use of information prepared by the Firm; or claims brought by third parties arising from reliance on information prepared by the Firm. This indemnity does not apply to the extent a loss is caused by the Firm's fraud, wilful misconduct or gross negligence, where such limitation is not permitted by law.
Documents prepared by the Firm are intended solely for the purpose for which they were prepared. The Client shall not alter, modify or selectively reproduce any document prepared by the Firm in a manner that could mislead any third party.
These Terms and Conditions are governed by and construed in accordance with the laws of the applicable jurisdiction in which the Firm conducts its practice, unless otherwise agreed in writing.
By instructing the Firm to perform services, or by accepting any work product prepared by the Firm, the Client acknowledges that they have read, understood and accepted these Terms and Conditions.
